APRILIA-PIAGGIO: A GIANT WITH 6000 EMPLOYEES WAS BORN
(AGI) - Milan, August 13 - The agreement between Piaggio and Aprilia to buy Aprilia, that will be formalized within September 30, expects the change of credits that financial institutes have with Aprilia, for 110 million euro, through assignation of 'transferable financial instruments' emitted by Piaggio. These instruments will correspond to an amount between 22 and 110 million due to 2007 and 2009 , to create a value of the complex Aprilia-Piaggio. Ivano Beggio, Holdipar, European Moto Holding, Istifid, Scarabeo - in exchange for shares will be given the same financial instruments for a maximum import of 20 million, with a granted minimum of 4 million. Bank credit lines will be recovered of Aprilia group for 70 million euro. Aprilia's debenture loans will be reimbursed on May 2005, but it could be added and exchange option with Piaggio obligations. Piaggio will emit obligations due to five years for 100 million euro to refund Aprilia's bonds. The operation is submitted to the creditors' agreement. Integration between Piaggio and Aprilia is creating a group of 1.5 million of revenues, a production of more than 600,000 unities, eight plants and 6000 employees. The plan expects Aprilia to maintain its industrial perimeter and occupation asset, valorisation of the label, technological integration with Piaggio particularly of motors, project synergies, production and commerce. Since today till closing Aprilia will be leaded by present management; finally commercial agreements will be ended for 20 million. Aprilia will have special scooters to sell with Piaggio's label and payment delay about supplying of motors from Piaggio to Aprilia. (AGI) .
